These Terms of Service ("Terms") govern your access to and use of coachium.app, the Coachium web application, the Coachium mobile application, and any related sites, applications, content, support, and services that link to these Terms (the "Services"). The Services are provided under the Coachium and Transforming Sports names ("Coachium", "we", "us", or "our").
By creating an account, accepting an invitation, purchasing access, or using the Services, you agree to these Terms and our Privacy Policy. If you use the Services for a team, club, school, business, or other organization (an "Organization"), you confirm that you have authority to bind that Organization. If you do not agree, do not use the Services.

You must be legally capable of entering into these Terms. You must be at least 16, or the minimum age required to consent to an online service in your country, to create or manage an account independently. A younger user may access the Services only through an Organization and with parent or guardian involvement and permission where required.
If you use the Services on behalf of an Organization, you confirm that you are authorized to do so and that the Organization will comply with these Terms. Organizations are responsible for deciding which users may access their workspace and for meeting safeguarding, employment, education, sport-governing-body, and privacy obligations that apply to them.
Provide accurate information, keep it current, protect your credentials, and promptly tell us about suspected unauthorized access. You are responsible for activity through your account except to the extent caused by our failure to use reasonable safeguards.
Organization administrators control membership, roles, permissions, access, and Organization content. An administrator may add or remove users, change permissions, access and export Organization content, or close an Organization workspace. If you lose access because of an Organization's decision, that is a matter between you and the Organization unless Coachium caused the issue.
Subject to these Terms and any applicable plan limits, Coachium grants you a limited, personal, revocable, non-exclusive, non-transferable right to access and use the Services for their intended purpose. You may not sublicense this right.
We may improve, add, change, suspend, or discontinue parts of the Services. We will use reasonable care to avoid materially reducing a paid Service during its current paid period without notice, except where a change is required for security, legal, technical, or third-party reasons. We do not promise that every function will always be available, compatible with every device, or error-free.
"Your Content" means information and material that you or your Organization submit, create, upload, import, record, generate, publish, or share through the Services.
You retain the rights you have in Your Content. You grant Coachium a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, transform, transmit, render, display, and create technical derivatives of Your Content only as reasonably needed to provide, secure, maintain, and support the Services, follow your sharing instructions, and comply with law. This licence lasts for as long as the content is retained for those purposes.
You confirm that you have the rights, notices, permissions, and consents needed for Your Content and our processing of it. This includes rights relating to footage, photographs, music, logos, confidential information, player records, health-related information, and information about children. You must not upload or share content in a way that violates another person's intellectual-property, privacy, publicity, confidentiality, or other rights.
Organization content may belong to or be controlled by the Organization rather than an individual user. Shared or collaborative records may remain available to the Organization after an individual leaves or closes an account.
The Services may allow you to share content with selected people, publish it, create a link or embed, export it, or authorize another service to access it. You are responsible for the audience, permissions, and contents of what you share. A recipient may be able to copy, download, or redistribute content after receiving it.
If you authorize an integration, you instruct us to disclose the information covered by the permissions shown to you. You are responsible for the third-party account and can revoke future access through available settings. Third parties independently control information they receive under their own terms.

We may investigate reports, limit distribution, remove content, or restrict access where we reasonably believe this section has been violated or action is needed to protect users, Organizations, Coachium, or the public. Where appropriate, users can report content or conduct to team@coachium.app.
The Services support planning, communication, content creation, and analysis. They do not replace qualified coaching judgment, medical care, safeguarding procedures, legal advice, or the requirements of an Organization or governing body.
You are responsible for reviewing content before using it in training, competition, health, performance, selection, discipline, or other decisions. Do not rely on the Services to diagnose an injury, determine whether someone is fit to participate, or respond to an emergency.
Some functions may use automated systems or third-party AI providers. You are responsible for the inputs you submit and must have the right to submit them. Outputs may be incomplete, inaccurate, offensive, unsuitable, or similar to outputs provided to other users. You must review an output before relying on, sharing, or acting on it.
AI output is not professional advice and does not transfer ownership of third-party material. You must not use an automated output to make a solely automated decision with legal or similarly significant effects about a person. Experimental or preview functions may be changed or withdrawn and may have additional limits described in the product.
Some Services require payment or another entitlement. Prices, included usage, billing period, renewal terms, and taxes are shown at purchase or in the applicable offer. You authorize the relevant payment provider to charge amounts you approve.
Unless the purchase terms say otherwise, a recurring subscription renews until cancelled. Cancellation stops future renewal and does not normally end access before the current paid period expires. Refunds are handled according to the purchase terms, the rules of the payment provider or app marketplace, and mandatory consumer law. Nothing in these Terms removes a statutory cancellation, refund, or other consumer right.
Purchases made through Apple, Google, or another marketplace are also governed by that marketplace's billing, cancellation, and refund rules. Coachium may not be able to issue a refund for a marketplace-managed purchase.
We may change future prices or plans with reasonable notice. If payment fails or an entitlement ends, we may limit paid functionality while preserving any rights required by law or expressly stated in the applicable plan.
The Services rely on third-party infrastructure, app marketplaces, authentication, payments, communications, analytics, media, AI, and other providers. Third-party content, links, and services are governed by their own terms and may become unavailable. To the extent permitted by law, Coachium is not responsible for a third party we do not control.
The applications may include open-source software governed by its applicable licence. Those licences apply instead of these Terms where they expressly say so.
Coachium and its licensors retain all rights in the Services, including the software, design, technology, branding, and documentation. Except for the limited right to use the Services, these Terms do not grant you any right in Coachium's intellectual property.
If you provide suggestions or feedback, you allow us to use them without restriction or payment. This does not transfer ownership of Your Content or permit us to identify you publicly without permission.
You may receive confidential Organization or user information through the Services. Use it only as authorized, protect it with reasonable care, and do not disclose it to anyone who is not permitted to receive it.
You are responsible for protecting downloaded files, exports, shared links, and devices. Notify team@coachium.app promptly if you suspect unauthorized access or a security incident involving the Services.
You may stop using the Services at any time and may close account access through available settings. Subscription cancellation and account closure are separate actions.
We may suspend or terminate access if you materially breach these Terms, fail to pay applicable fees, create a security or legal risk, or use the Services in a way that may harm others. We will give notice and a reasonable opportunity to remedy the issue where practical, but may act immediately where reasonably necessary.
After termination, your right to use the Services ends. Content may be deleted, de-identified, retained by an Organization, or kept where reasonably required by law, security, payment records, backups, dispute resolution, or the rights of other users. See the Privacy Policy and account deletion page for more information. Sections that by their nature should continue, including ownership, payment obligations, disclaimers, liability, and dispute terms, survive termination.
To the maximum extent permitted by law, the Services are provided "as is" and "as available". Coachium disclaims implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.
We do not guarantee that content, analytics, generated output, synchronization, or exports will be complete or accurate, or that information will never be lost. Keep appropriate copies of important material. These disclaimers do not affect warranties or rights that cannot lawfully be excluded.
To the maximum extent permitted by law, Coachium is not liable for indirect, incidental, special, consequential, exemplary, or punitive loss, or for lost profits, revenue, opportunity, goodwill, or data.
To the maximum extent permitted by law, Coachium's total liability arising from the Services or these Terms is limited to the greater of the amount paid to Coachium for the affected Services during the 12 months before the event giving rise to the claim or EUR 100.
Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, wilful misconduct, gross negligence where it cannot be limited, or any other liability that applicable law does not allow us to exclude or limit. Consumers retain mandatory rights under the law of the country where they live.
If you use the Services on behalf of an Organization, the Organization will defend and indemnify Coachium against a third-party claim arising from the Organization's unlawful content, lack of necessary rights or consents, or material breach of these Terms, except to the extent the claim was caused by Coachium. This section applies only to the extent permitted by law and does not apply to an individual acting solely as a consumer.
When you download a mobile application from an app marketplace, the marketplace is not a party to these Terms and is not responsible for the Services, support, maintenance, warranties, or claims relating to the application, except as required by its own terms or applicable law. The marketplace and its affiliates may enforce the provisions of these Terms that benefit them.
For an application downloaded from Apple's App Store, Apple is a third-party beneficiary of this section. Apple's Standard Licensed Application End User License Agreement governs the licence to the downloaded application unless a different end-user licence is presented in App Store Connect. These Terms continue to govern your account and use of the Services.
Before filing a claim, contact team@coachium.app and give us a reasonable opportunity to resolve the issue informally. This does not limit a right to seek urgent relief or use a regulator, consumer body, or court where applicable law permits it.
The law and courts that apply are those identified in any Organization agreement, order form, invoice, app marketplace terms, or other purchasing terms that govern your use of the Services. If none are identified, applicable conflict-of-law and jurisdiction rules determine the governing law and forum. Consumers retain the mandatory protections and access to courts available under the law of the country where they live.
These Terms, the Privacy Policy, and any purchase or Organization terms expressly accepted by the parties form the agreement concerning the Services. If a specific written agreement conflicts with these Terms, that agreement controls for its subject matter.
If a provision is unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions remain effective. A delay in enforcing a right is not a waiver. You may not assign these Terms without our consent, but we may assign them as part of a reorganization, financing, merger, acquisition, or sale of the business. We are not responsible for delay or failure caused by events outside our reasonable control.
We may update these Terms for legal, security, operational, provider, or product reasons. We will update the date above and give reasonable notice of a material change where required. A material change will apply prospectively. If you do not agree to updated Terms, you must stop using the Services and cancel any renewal before the change takes effect.
